THE OUTDOOR CLUB OF MESQUITE, NV
CONSTITUTION AND BY-LAWS ADOPTED MARCH 13, 2008
With all changes approved through April 9, 2017
ARTICLE I.
PURPOSE
This organization is formed as a non-profit organization and shall
be known as THE OUTDOOR CLUB OF MESQUITE, NV, P. O. Box 261,
Mesquite, NV 89024.
The purpose and intent of this organization is to encourage
its members to actively pursue the art of mineral prospecting, rock
hounding, gold digging, gold panning, etc., and any other function
decided by the members.
It shall also be the intent of this organization to request
total compliance of its members to the laws and regulations of this
club. This
organization shall promote the respect and protection of any land
during its activities/functions.
ARTICLE II.
ORGANIZATION OF THE CLUB
The club shall have as its leadership the executive officers of the
members outlined in Article III of this Constitution.
The executive officers shall be responsible for promoting the
ideals set forth in Article I.
The executive officers shall be the primary contact for any
questions pertaining to matters of the club.
The executive officers may propose rule changes, suggest dues
amounts, and determine the agenda of all general meetings.
Funds may not be expended without a majority vote of the
general membership in attendance.
The executive officers may suggest a member of the club to
fill a vacant office through the end of its term. A majority vote of
the general membership, in attendance, shall confirm this action.
All elections of executive officers shall be voluntary
service or majority of members in attendance.
ARTICLE III. EXECUTIVE
OFFICERS
The executive officers shall be comprised of the following members:
President, Vice-President, Secretary, Treasurer.
ARTICLE IV. APPOINTED
COMMITTEE CHAIRPERSON
The following committees and other committees shall be appointed by
the President as deemed necessary.
The duties of the appointed committee chairpersons are as
follows:
Activities: The
individual that suggest a trip to a location will be responsible for
guiding the club’s group on that particular day.
Historian: Will be
responsible for keeping the activities of the club in an appropriate
binder(s).
The most recent binder will be available during the general meetings
for all members to view past and present activities.
Membership: Will
provide potential new members information about the club and our
activities. Will also actively promote the club by using the
community calendar and other free forms of publicity.
Anyone who joins will fill out a membership/disclaimer form
and a check made payable to: The Outdoor Club of Mesquite, NV.
(past this point, see Treasurer's duties).
A.
The chairman will issue a membership-numbered card,
Constitution and By-Laws, the addendum of inventory equipment of the
club, A list of the Officers and Committee Chairpersons, the updated
list of club members (not to be shared with anyone who is not a
currently paid member), and return a copy of the
membership/disclaimer form.
Newsletter Editor: Will
be responsible for the club’s monthly newsletter.
All information, i.e., secretary’s minutes, for sale items,
trip reports, pres. corner, etc., will be submitted to the
Newsletter Editor. The
newsletter shall be submitted 5-10 days prior to the club’s next
scheduled meeting.
The Editor, in turn, will distribute the newsletter to all
currently, paid members via postal mail or email. (note: The
newsletter editor does not edit the content of anything provided,
but does correct obvious typo, mis-spellings, etc.)
The duties and
responsibilities of the executive officers shall be as outlined in
Article V and the appointed committee chairperson shall be as
outlined in Article IV.
All members of this club shall serve voluntarily, without
compensation.
Executive officers and committee chairpersons may be removed from
office by a majority vote of the general membership for the
following reasons:
A.
misappropriation of funds.
B.
failure to perform the duties of the office.
C.
any reason that the majority of the general membership do not
feel is in the best interest of the club and the ideals set forth in
Article I.
All of the executive officers shall serve a term of one (1) year,
and may be re-elected an unlimited number of times.
The executive officers shall meet at times as deemed
necessary .
ARTICLE V. DUTIES
AND RESPONSIBILITIES OF OFFICERS
A. President.
1. The president shall
conduct all business at the general membership meetings and
executive committee meetings.
2. The president’s vote
shall be the deciding vote in the case of a tie vote of the general
membership.
3. The president may
appoint such committees as deemed necessary by the general
membership or executive officers to conduct the business of the
club.
4. The president shall
be responsible for each meeting’s agenda.
5. Shall ensure that
elections are held during the March meetings and any suggested
Constitution/By-laws changes are considered during April meetings.
B. Vice-President.
1. The Vice-President
shall assume the duties of the president in the event the president
is unable to complete the term of office or is removed from office.
In this event, a new vice-president shall be elected by the
general membership.
2. Shall assume the
duties of any other vacant office until such time as a new officer
is elected.
C. Secretary.
1. Shall be responsible
for keeping the minutes of all meetings.
The secretary will pass the minutes to the Editor of the
club’s newsletter.
D. Treasurer.
1. Shall maintain and
be responsible for all financial records, receipts, etc., and
obligations of the club.
This includes new membership(s).
Anyone who joins will fill out a membership/disclaimer form
and cash or a check made payable to:
The Outdoor Club of Mesquite, NV.
The membership/disclaimer form will be given to the
Treasurer. The
Treasurer, in turn, will write a receipt, etc. to the new member.
2.
Shall maintain and publish a listing of all club members in
good standing;
ensure
waivers are filled out and signed by new members or old members that
have lapsed; provide a list of members whose dues are due/overdue
that month to the Newsletter Editor to be published in the next
newsletter. Keep the waivers of all current members so as to be
available as necessary.
3. A financial report
shall be presented at each meeting.
4. The treasurer will
submit all records and assist in any audits of the club.
ARTICLE VI. FINANCES
AND DUES.
A. The finances of the
club shall be the responsibility of the president and the treasurer.
Monies of the club shall be maintained in a two-signature
account at America First Credit Union, Mesquite, Nevada.
B. All bills to be paid
must be approved by the majority of the general membership. Note:
the bill for the Post Office box has been approved by the general
membership, to be paid when due.
C. The operating funds
for the club’s monthly meeting shall not exceed the amount agreed
upon by the general membership.
D. All receipts pertaining
to the club’s operating expenses for specific club activities and/or
functions, such as, money making projects, will be presented before
the general membership.
If approved by the majority of the general membership (in
attendance), the receipts will be turned-over to the Treasurer for
reimbursemen
E. The club’s dues will
be $25 per primary member plus $5 for each family member thereafter,
and is payable annually on the date the member initially joined the
club. All monies are
exclusively for the club’s operating expenses.
F. There is a 90-day
grace period of all overdue accounts.
After this period, if membership dues have not been renewed,
your membership will be terminated. (constitution change made 8 Dec
2013)
G. All personal
expenses for excursions, equipment, etc., shall be the sole
responsibility of each member of this club.
ARTICLE VII. LIABILITY
OF THE OUTDOOR CLUB OF MESQUITE, NV.
A. The Outdoor Club of
Mesquite, NV assumes no liability for any damage to the personal
property or injury of any member or guest of a member.
This disclaimer shall include any civil action that may be
taken against an individual for claims violations, unpaid claims
assessment, or any other violation of any law that may result in
legal action being taken against an individual.
